Miovision Privacy Policy

In this Privacy Policy (“Miovision”, “we”, “our” or “us”) refers to Miovision Technologies Incorporated and its affiliates including CJ Hensch & Associates, Inc.

Please read this Privacy Policy carefully as it includes important information about how we handle your Personal Information (defined below).

 

1. Scope and Application

 

This Privacy Policy applies to all Personal Information we collect through our (i) websites (the “Website(s)”); (ii) marketing, sales, support, legal, finance, human resources, and other communications with you, (iii) partners, (iv) suppliers, and (v) affiliates.

Miovision’s Intelligent Mobility products are not intended to collect Personal Information (as defined below) and are required to be deployed and configured by customers so as to obfuscate the identity of individuals and not collect any Personal Information as part of the traffic data.

This Privacy Policy does not apply to Aggregate Information, Anonymized Data, or De-identified Data (each as defined below) that cannot reasonably be used to identify you.

2. Definitions

 

“Personal Information” means any information that could reasonably be used to identify, locate or contact you and which is submitted to and/or collected by Miovision and maintained by Miovision in an accessible form.

“De-identified Data” means information that cannot reasonably be used to identify an individual, and for which technical and organizational measures are in place to prevent re-identification (De-identified Data includes “Aggregate Information” and “Anonymized Information” (each as defined below)).

“Aggregate Information” means data that has been combined with others’ information so that it does not identify any individual.

“Anonymized Data” means data whose Personal Information has been removed or modified so that the data cannot be associated with an individual.

 

3. What Personal Information do we Collect?

 

We only collect Personal Information necessary for the purposes identified in this Privacy Policy. We will keep all information as accurate, complete, and up-to-date as reasonably possible. The information we collect includes the following categories:

Account and profile information: You may provide us with profile information such as your e-mail address, telephone number, username, and password when you create an account in our proprietary software platform, or when you edit your account information. You may also provide us with payment information when you submit an order for our products and services.

Content you provide through our products and services: Some of our products enable recording and/or uploading of traffic video. When you choose to record or upload video it may be stored in our systems. Other data, for example traffic data or de-identified device data, may also be stored in our systems.

Content you provide through our Websites: You may provide us with your contact and other information to be used, as an example, for marketing purposes. We also retain usage data to understand how our customers use our products and Websites.

Technical and Usage Information: We may collect usage information, such as IP Address, browser type, operating system, device identifiers, access times, pages viewed, and any other internet usage information our services may automatically record when you visit our Websites.

Marketing and Communication Preferences: We may also provide you with choices regarding your marketing preferences, which includes subscription choices, marketing responses, and event participation.

Cookies and Tracking Data: In order help us provide services to you, we may collect data from cookies, pixels, beacons, and similar technologies as described under “Cookies and Similar Technologies” below.

Know Your Customer (KYC) Vetting: Miovision may in certain circumstances conduct due diligence of prospective distribution partners and their principals, which may involve collection of Personal Information.

Children’s Privacy:

You must be 18 years or older to use our services. Our services are for a general audience, are not targeted to children, and we do not knowingly collect Personal Information from children under 18 years of age.

 

4. Consent

 

Miovision collects Personal Information for the purposes outlined below. If we seek to use Personal Information that has been collected for a purpose not previously identified, we will seek your consent prior to use, unless it is not required or we rely on a different legal basis for collection under applicable law.

If you wish to withdraw (revoke) your consent for the collection, use or disclosure of your Personal Information at any time, please contact us at privacy@miovision.com. Your withdrawal of consent is not retroactive given that we may already have used your information for the purposes described here; it will be applied on a go-forward basis. If you withdraw consent your ability to use our services may be affected.

 

5. How we Use the Personal Information we Collect

 

We use the Personal Information we collect for the following purposes: (i) to provide the services and personalize your experience, (ii) for research and development, (iii) customer support, and (iv) marketing.

To provide the services and personalize your experience

To operate, maintain, and improve our services.

  • We use identity and profile information to determine which applications and functionality you should have access to.
  • To enforce our terms, protect our rights, and comply with our legal obligations.
  • We process video of public traffic situations using manual and automated tools to provide anonymous, aggregate counts of vehicles, bicycles, and pedestrians.
  • As part of our commitment to delivering excellent services to our customers, we may use Personal Information provided by our distribution partners as part of the KYC Vetting.

 

Research and development

We process video of public traffic situations and counts of vehicles, bicycles, pedestrians and traffic network statistics and analysis for the purpose of training and validating our algorithms. We may also use usage and other data to otherwise improve our products and services and develop new offerings.

Customer support

We retain usage data, in some cases via third-party tools, to understand how our customers use our products as well as to assist with responding to inquiries, requests, and other troubleshooting and support needs.

Marketing

We use identity, preference, usage and other data to provide a better, more personalized experience and to share important product and marketing updates, relevant articles and other information and offerings. We also use cookies to enable services like event registration and collecting form data (please see “Cookies and Similar Technologies” below). In some cases, data is collected via third-party tools like Google Analytics. You can unsubscribe at any time. For questions, email us at privacy@miovision.com. Miovision will not sell or share your telephone number with any third party who is not involved in providing our products or services, without your consent.

 

6. How we Share the Personal Information we Collect

 

We may share Personal Information with third-party apps that have access to our Websites, with our service providers and distributors, and if we owe a legal duty to disclose in order to comply with legal obligations.

Accessing the Websites or any Miovision applications may give third-party apps access to information about you, such as your name and email address. Third-party app policies and procedures are not controlled by us, and this Privacy Policy does not cover how third-party apps use your information. We encourage you to review the privacy policies of such third parties to learn more about their privacy and information handling practices. If you object to information about you being shared with these third parties, please email privacy@miovision.com.

We share Personal Information with service providers that perform functions on our behalf.

We also share Personal Information if we are under a duty to disclose in order to comply with any legal obligation, or in order to enforce or apply our terms of use and other agreements; or to protect the rights, property, or safety of Miovision, our customers, or others.

We may disclose your Personal Information at your direction or with your consent.

We may disclose your Personal information in de-identified form or otherwise in a form that cannot reasonably be used to identify you.

We may share Personal Information, including the email address you have provided to us, with our distribution partners, who may use it for customer service purposes and to send you messages that may be of interest to you regarding our products and services related to our products. You may opt out of receiving messages from us at any time.

We may also share your information in connection with a merger, acquisition, or business transfer. If we sell all or a part of our company, are part of a merger, consolidation, restructuring, sale of company stock, and/or sale of assets or other corporate change, your information may be transferred as part of that transaction, provided that we do so in compliance with applicable law.

 

7. How we Retain the Personal Information we Collect

 

Miovision’s policy is to keep your Personal Information for as long as your account is active and for as long as there is a business purpose (for example, to provide you with our products and services). You may choose to delete your account directly or make an account closure request to Miovision.

Traffic video data may be retained for research and development purposes as described above.

If you have elected to receive marketing emails from us, we retain information about your marketing preferences while you elect to opt-in.

We will retain your information for as long as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements. We may retain the KYC Vetting information as necessary for such purpose.

 

8. How we Protect Personal Information

 

Miovision is committed to ensuring the security of your Personal Information and has put in place reasonable physical, organizational, and technological security measures to ensure the safety of your Personal Information and protect it from accidental loss and from unauthorized access, collection, use, alteration or disclosure.

For example, we use SSL encryption, firewalls, anti-virus and system security monitoring. We also limit access to your personal information to those employees, contractors and agents who have a business need to know.

Unfortunately, no data transmission over the Internet can be guaranteed to be 100% secure. While we strive to protect your Personal Information, Miovision cannot warrant the security of any Personal Information you transmit to us over our Websites, and you do so at your own risk.

 

9. Additional Information for Residents of Certain US States

 

Residents of California, Virginia, Colorado, Connecticut, other U.S. states with similar privacy laws, have certain rights with respect to their Personal Information, as described below. For purposes of this Section, “Personal Information” is synonymous with “personal data” and generally means information that identifies, relates to, or describes a particular in-scope state resident.

Targeted Advertising

Some states define “sale” as the exchange of information for monetary consideration, while other states define “sale” as providing your information in exchange for valuable consideration, which may or may not be monetary. Please note that we process Personal Information in connection with certain types of advertisements, which could be considered “sharing” under California law or “selling” under other state privacy laws (e.g., California, Colorado, and Connecticut).

We may engage in targeted advertising, which helps to serve you with Miovision ads when you are not on our site. The Personal Information that we process for targeted advertising may include: Identifiers including IP address and other online identifiers; Internet and other electronic network activity including interaction with a website or advertisement; Inferences drawn from information processed including preferences and behavior, and other Personal Information. In addition, we may process Personal Information described in this Privacy Policy in order to protect Miovision’s and others’ rights, or to complete a merger, bankruptcy, sale of assets, or other corporate transaction, which is not included in the definition of “sale” under California or other similar state privacy laws. Sensitive Personal Information

We do not process “sensitive” Personal Information for purposes other than those specified in applicable law (such as to provide the services you requested or to prevent, detect, and respond to security incidents). We do not use or disclose this information for any purpose that would trigger your right to limit our use under California law, or necessitate your opting in under Texas, or similar U.S. state, law. If we ever begin using “sensitive” Personal Information for additional purposes, you will be notified and given the ability to exercise to limit such use as legally required.

Your Privacy Rights Under Applicable State Law

In addition to the rights set out under “How to Access and Control your Personal Information” below, if you are a resident of California, Virginia, Colorado, Connecticut, or other state with a similar privacy law, you may have the following rights with respect to Personal Information, as described below.

We are required by law to verify your identity depending on the type of request in order to prevent unauthorized access of your data. Failure to verify your identity may result in your request not being processed. Where required by applicable law, we will notify you if we deny your request and notify you of the reasons we are unable to honor your request.

  • Right to know and access Personal Information: You may request to confirm whether we are processing Personal Information about you and request access information we have collected and maintain about you. If your request is granted, we will provide you with a copy of the Personal Information we have collected and maintained about you in a portable manner.
  • Deletion Rights: You may request that we delete your Personal Information we have collected from and about you pursuant to the “How to Access and Control your Personal Information” section below.
  • Opt-Out Rights: Depending on the state you reside in, you may have the right to opt out of the “sale” of your data and/or the disclosure of your data for cross-context behavioral advertising/targeted advertising (known as a “share” in California). In order for you to exercise this right, please fill out our “Do Not Sell or Share My Personal Information” form located on our Website homepage. Additionally, if you are a California resident, you may have the right to opt out of profiling in certain circumstances. If you are a resident of Virginia, Colorado, Connecticut, or other state with a similar privacy law, you have the right to opt out of profiling in furtherance of solely automated decisions that produce legal or similarly significant effects.
  • Correction of Inaccurate Personal Information: You have a right to request the correction of inaccurate Personal Information that we may have on file about you.
  • Non-Discrimination: You have the right to be free from unlawful discrimination for exercising your above-listed rights under the laws of California and other states with similar privacy laws.
  • Right to Appeal: Depending on your state of residence, you may have the right to request an appeal if we decline to take action in response to your consumer request.

De-identified Data or Aggregate Information is not subject to these rights, and we will not attempt to re-identify it.

You have the right to request the information listed above. If you would like to make a request under the applicable state law, please email us at: privacy@miovision.com or send a letter to Office of the General Counsel, Miovision Technologies Incorporated, 137 Glasgow St., Suite 110, Kitchener, Ontario, Canada N2G 4X8. With respect to appeals regarding your privacy rights, please use “Appeal” in the subject line. We will respond in writing within 45 days, as required by applicable law. With respect to certain of the rights above, please note that in some instances we may decline to honor your request or only honor your request in part, where, for example, we are unable to verify your identity or an exception to this right applies.

Authorized Agent

Depending on your state of residence, you may use an authorized agent to exercise a privacy right discussed above. If you are an authorized agent acting on behalf of a consumer residing in California or other state with a similar privacy law, you must be able to demonstrate that you have the requisite authorization to act on behalf of the resident. If you are an authorized agent trying to exercise rights on behalf of a Miovision consumer, please email us at: privacy@miovision.com or send a letter to Office of the General Counsel, Miovision Technologies Incorporated, 137 Glasgow St., Suite 110, Kitchener, Ontario, Canada N2G 4X8 with supporting verification information, which includes proof that you have access to the consumer’s interface and proof of your own identity.

Shine the Light Disclosure

We do not disclose personal information as defined by California Civil Code § 1798.83 (the “Shine the Light Law”) with third parties, other than our affiliates, for their direct marketing purposes absent your consent. If you are a California resident, you may request information about our compliance with the Shine the Light Law by sending an email to privacy@miovision.com or by sending a letter to Office of the General Counsel, Miovision Technologies Incorporated, 137 Glasgow St., Suite 110, Kitchener, Ontario, Canada N2G 4X8. Any such request must include “Request for California Privacy Information” in the subject line and include your name, street address, city, state, and ZIP code. Please note that we are only required to respond to one request per customer each year, and we are not required to respond to requests made by means other than through the email address or mailing address referenced above.

 

10. Cookies and Similar Technologies

 

(a) What types of cookies do we use?

We use the following type of cookies:

Product cookies. These cookies help us understand how our customers use our products as well as to assist with troubleshooting and support.

Third-party and advertising cookies. Third-party social, advertising, and other cookies are generally used to provide you with a better experience, and to provide Miovision with information we can use to improve our products and services for our customers.

(b) Third party cookies

Third parties are subject to the cookie policies of these third parties. We inform you about the purpose of the cookies of which we have knowledge and the means by which you may accept or refuse them.

Cookies and similar ad technology such as pixels, tags, and beacons (please see below for further information) help us serve timely and relevant ads to our customers. We may also use these technologies to help us with aggregated reporting, improve our services, and to know what content has been shared with our customers (please see below for further information).

If one of our cookies on your device identifies you while you are visiting the Websites, your usage (such as your browsing behavior) and log data (such as your IP address), will be associated with your account and that information may be shared with third parties as described in this Privacy Policy.

(c) Methods of refusal of cookies

The placement of a cookie is subject to the permission of the user. Permission can be expressed and modified at any time by the user, free of charge.

If you have allowed the recording of cookies in your browser, the cookies integrated into the pages you have viewed can be temporarily stored on your computer.

Your use of the Websites indicates to us that you agree to having cookies placed on your computer or on the mobile device from which you accessed the Websites, unless a different consent process applies to you under applicable law. If you refuse cookies, or if you delete existing cookies, you will no longer be able to benefit from certain features of our Websites (please see below for further information).

Additional Information on Cookies and Similar Technologies

Another technology we use, “localStorage”, is similar to a cookie and stores data in the browser and can be accessed by the party that stored the data. A “web beacon,” also known as a script tag, pixel tag or clear GIF, links web pages to web servers and their cookies and may be used to transmit information collected through cookies back to a web server. We and our third-party service providers may use beacons in emails to help us track response rates, identify when our emails are accessed or forwarded, and for other purposes listed below.

All of these technologies help us (1) remember your information so you will not have to re-enter it; (2) track and understand how you use and interact with the services; (3) tailor the services around your preferences; (4) measure the usability of the services; (5) understand the effectiveness of our communications; and (6) otherwise manage and enhance the services.

To the extent required by applicable law, we will obtain your consent before placing cookies or similar technologies on your computer. Most web browsers will tell you how to stop accepting new browser cookies, how to be notified when you receive a new browser cookie and how to disable existing cookies. You can find out how to do this for your particular browser by clicking “help” on your browser’s menu or by visiting www.allaboutcookies.org. In addition, your mobile device settings may allow you to prohibit mobile app platforms (such as Apple and Google) from sharing certain information obtained by automated means with app developers and operators such as us. Please note that without cookies or other automated tools we used to collect this type of data, you may not be able to use all the features of our services.

Some browsers permit the user to send a “Do Not Track” (“DNT”) signal to websites that the user visits indicating that the user does not wish to be tracked over time and across websites. Because there is not yet a common understanding of how to interpret the DNT signal, we do not currently respond to that signal on our Websites. We do, however, respond to global privacy preferences and honor opt-out preference signals sent via the Global Privacy Controls (GPC), when and where required by law.

Third-Party Web Analytics Services

Through our services, we may obtain Personal Information about your online activities over time and across third-party apps, websites, devices and other online services. On our services, we use third-party online analytics services. The service providers that administer these analytics services use automated technologies to collect data (such as email address, IP addresses, cookies and other device identifiers) to evaluate, for example, use of our services, to diagnose technical issues and to serve ads. Please note that by blocking any or all cookies you may not have access to certain features, content or personalization available through our services.

Online Tracking and Interest-Based Advertising

When you use our services, our third-party advertising partners, social media providers, and analytics providers may collect Personal Information about your online activity on our services and on third party websites.

These providers may set web tracking tools (e.g. cookies and web beacons, as discussed above) to collect information regarding your online activity. In addition, our advertising partners may use this information to deliver advertisements to you when you visit third party websites within their networks. If you would like more information about this practice, and to know your choices with respect to it, please either visit the Digital Advertising Alliance’s opt-out page (currently available at http://www.aboutads.info/choices/) or the Network Advertising Initiative’s opt-out page (currently available at http://www.networkadvertising.org/choices/). In the European Union, please visit www.youronlinechoices.eu.

Please note that you may continue to receive generic ads that are not based on your preferences.

 

11. How to Access and Control your Personal Information

 

You may exercise any rights you may have under applicable law to access, correct, delete, object to processing, and request data portability (please see “European Economic Area (EEA) Notice” below and “Your Privacy Rights Under Applicable State Law” above) in the following ways: change your profile information; deactivate your account; delete your information; and opt-out of communications.

  • Change your profile information by accessing the settings or profile page Miovision applications such as Miovision One, DataLink, TrafficLink, or TDO.
  • Deactivate your account: In most cases you can deactivate your own account within each product or application where the account was created. In some cases, account deactivation may require an administrator (either a customer administrator or Miovision support agent) to perform the deactivation.
  • Delete your information: You may email privacy@miovision.com for any data deletion request. If you are a registered user of our products and your information is deleted from our systems, your account may become deactivated. We may retain an archived copy of your records if required by law or for legitimate business purposes.
  • Opt-out of communications: You may opt out of receiving promotional communications from us by using the unsubscribe link within each email. Even after you opt out of receiving promotional messages from us, you will continue to receive transactional messages from us regarding our services. You can opt out of some notification messages in your account settings. Alternatively, you can email us at privacy@miovision.com to unsubscribe.

 

12. How we Transfer your Personal Information

 

Miovision processes and stores your Personal Information in Canada and the United States. To facilitate our global operations, we may transfer Personal Information to Miovision affiliates and service providers located outside of the United States and Canada, and allow access to that Personal Information from countries in which the Miovision affiliates and service providers have operations for the purposes described in this Privacy Policy. When we transfer Personal Information, we do so in compliance with applicable laws.

Some countries to which we transfer Personal Information may not have the same or substantially similar privacy laws as those set out in your jurisdiction, and accordingly, your Personal Information may not receive the same protections under the laws of such foreign jurisdictions, that it would in the United States or Canada.

Your acceptance of this Privacy Policy or continued use of the Websites, Miovision products or services, or the Miovision customer support portal or partner portal, constitutes your agreement to the transfer of your Personal Information as described above.

 

13. European Economic Area (EEA) Notice

 

If you are located in a country in the European Economic Area (EEA) and use our Website tools that are offered to EEA residents or if we collect, track, use, transfer or process in some other way your Personal Information collected from you or through your use of our Websites, we will do so in accordance with this Privacy Policy, the applicable Website terms, and in compliance with applicable requirements of the General Data Protection Regulation (EU 2016/679) (GDPR).

Transfers of Personal Information

Miovision processes and stores Personal Information in Canada and the United States. The European Commission has decided that Canada ensures an adequate level of protection of individuals’ Personal Information. Miovision may use safeguards prescribed by data protection laws when transferring your Personal Information to a country, other than Canada, that is not within the EEA.

Opt-in

If you are an EEA resident, we may only collect your data using cookies and similar devices, and then track and use your Personal Information, where you have first consented to that. We will not automatically collect Personal Information from you as described above unless you have consented to us doing so (provided that necessary cookies are required to be enabled). If you consent to our use of cookies and similar devices, you may at a later date disable them.

Your Legal Rights

Under certain circumstances, you may have rights under data protection laws in relation to your Personal Information, including the right to:

  • Right to request access to your personal information (commonly known as a “data subject access request”): This enables you to receive a copy of the Personal Information we hold about you and to check that we are lawfully processing it.
  • Right to request correction of the Personal Information that we hold about you: This enables you to have any incomplete or inaccurate information we hold about you corrected, though we may need to verify the accuracy of the new information you provide to us.
  • Right to request erasure of your Personal Information: This enables you to ask us to delete or remove personal data where there is no good reason for us continuing to process it. You also have the right to ask us to delete or remove your Personal Information where you have successfully exercised your right to object to processing (see below), where we may have processed your information unlawfully or where we are required to erase your Personal Information to comply with local law. Please note, however, that we may not always be able to comply with your request of erasure for specific legal reasons, which will be notified to you, if applicable, at the time of your request.
  • Right to object to processing of your Personal Information: This right applies where we are relying on a legitimate interest (or those of a third party) and there is something about your particular situation which makes you want to object to processing on this ground as you feel it impacts on your fundamental rights and freedoms. You also have the right to object where we are processing your Personal Information for direct marketing purposes. In some cases, we may demonstrate that we have compelling legitimate grounds to process your information that override your rights and freedoms.
  • Right to request restriction of processing of your Personal Information: This enables you to ask us to suspend the processing of your Personal Information in the following scenarios: (a) if you want us to establish the data’s accuracy; (b) where our use of the information is unlawful but you do not want us to erase it; (c) where you need us to hold the information even if we no longer require it as you need it to establish, exercise or defend legal claims; or (d) you have objected to our use of your Personal Information but we need to verify whether we have overriding legitimate grounds to use it.
  • Right to request the transfer of your Personal Information to you or to a third party: We will provide to you, or a third party you have chosen, your Personal Information in a structured, commonly used, machine-readable format. Please note that this right only applies to automated information which you initially provided consent for us to use or where we used the information to perform a contract with you.
  • Right to withdraw consent at any time: This right applies where we are relying on consent to process your Personal Information. However, this will not affect the lawfulness of any processing carried out before you withdraw your consent. If you withdraw your consent, we may not be able to provide certain products or services to you. We will advise you if this is the case at the time you withdraw your consent.

14. Changes to this Privacy Policy

 

We may update this Privacy Policy at any time by posting the amended version on our Website including the date of the updated version.
